独立董事的法律义务与责任追究：国际经验与中国方案 (The Duties and Liabilities of Independent Directors : International Experiences and Suggestions for China)

康美药业案具有促使独董勤勉尽责的积极意义，但赔偿责任比例和数额等方面存在改进空间。美国独董义务体系比较完备，可分为四大类，现实中独董很少被追责，主要依赖声誉机制进行激励约束。由于国情存在诸多重大差异，我国不宜直接照搬美国经验。2022证券虚假陈述司法解释大幅降低独董民事责任标准的做法值得商榷。一股独大并非我国独董制度的本质缺陷，关键在于完善法律责任体系，其路径不应是限缩独董职责范围，而应优化责任标准，保持适当的责任压力，促使公司选任优秀独董，让其发挥市场信号和公司治理的作用。我国应统筹改革公司法和证券法，健全独董义务体系，适当设定法律责任标准，引入董事责任保险，并以独董从公司所获薪酬总额的5倍作为责任限额，在促使独董勤勉尽责与避免寒蝉效应之间取得平衡。
