The Role of the Sharīʿah Supervisory Board : A Gatekeeper?
Sharīʿah-compliance is the main interest that needs to be assured for its stakeholders in Sharīʿah governance framework. To protect this interest, the Sharīʿah Supervisory Board (SSB) is created to perform Sharīʿah supervision. However, the SSB might not be efficient. This article analyses the functions of the SSB and how they could be re-assigned into more proper governance tools. it conducts analogical comparisons with the roles of other well-structured governance mechanisms whose objectives are similar to those of SSBs like the board of directors and gatekeepers, especially the external auditors. It, then, proposes an SSB-free as a new Sharīʿah governance model that helps Sharīʿah supervision to be recognised in the modern corporate governance structure and increase the efficiency of the Sharīʿah supervision practice. The proposed SSB free model is explained at the end of the article with its potential challenges and the opportunity of Saudi Arabia to lead a revolutionary legal reform in the industry
