Vorstandsvergütungspraxis in Österreich
Im Rahmen dieser Arbeit wurde der Vorstandsvergütungspraxis in Österreich auf den Grund gegangen. Nach einer kurzen Einleitung in die Materie, deren Schwerpunkt das Aufzeigen der Aktualität dieses Themas in Anbetracht der ausgiebigen Medienpräsenz in vergangener Zeit war, widme ich mich im zweiten Kapitel dem Prinzipal Agenten Konflikt. Dieser stellt aufgrund der asymmetrischen Informationsverteilung das Grundproblem in der Beziehung zwischen Aktionären und Vorständen dar und wird daher im Detail erläutert. Als Abrundung dieses Kapitels werden Lösungsmechanismen vorgestellt und diskutiert. Kapitel drei widmet sich der Thematik des Corporate Governance (CG) und gibt einen detaillierten Überblick über die Entwicklung verschiedenster Codes weltweit bis hin zur Entstehung des österreichischen CG Kodex. Kapitel vier stellt das Kernstück der vorliegenden Arbeit dar und widmet sich der Diskussion über mögliche Effekte einer Offenlegungspflicht der Vorstandsvergütungen. Im Rahmen dessen wird mithilfe verschiedenster Modelle bewiesen, dass eine Pflicht zur Transparenz - entgegen den Erwartungen - negative Konsequenzen für Aktionäre haben kann. Im letzten und fünften Kapitel wird als Abrundung der Arbeit eine von mir durchgeführte empirische Studie vorgestellt. Bevor auf die Ergebnisse dieser Studie eingegangen wird, baut ein kurzer Überblick über bereits bestehende Untersuchungen ein Verständnis dafür auf, welche Determinanten der Vorstandsvergütung als besonders wichtig zu erachten sind. Die beiden Variablen Unternehmensperformance sowie Unternehmensgröße stellten sich als gängige Untersuchungsdeterminanten heraus und würden daher auch von mir auf ihren Einfluss auf die Höhe der Vorstandsgehälter untersucht. Ergebnis der Studie war, dass die Unternehmensperformance nur wenig Zusammenhang mit der Höhe der Managersaläre aufweist, während die Größe eines Unternehmens über 50% der Variation in den Vorstandsgagen erklärt.
