Nullity of Companies’ Registration in Serbian Law under the Influence of European Legal Systems
In this paper the author analyses the regime of nullity of a company’s registration, regulated by the Law on the Registration procedure into the Business Agency Register. The focus is on conditions for nullity, possibilities to remedy nullity, time prescription as well as different legal consequences of nullity. Also, the aim is to make a connection between the current regime of the nullity of a company’s registration to the existing parallel regime of the nullity of the articles of incorporation, introduced by the Law on Commercial Companies.Analysis will show that these two sets of provisions do not provide a consistent and coordinated system of nullity in general with regard to companies. Also, it will underline important influence of different European legal systems to existing regimes, and point out possible negative effects which they can have for business operation
