A Practical Discussion of Dodd-Frank's Conflict Minerals Rule : The SEC's Role in Ending Conflict Minerals Related Violence in the Democratic Republic of the Congo
In July of 2010, Congress enacted the Dodd-Frank Wall Street Reform and Consumer Protection Act. As part of the legislation, Congress directed the Securities and Exchange Commission to issue rules requiring certain companies to disclose their use of conflict minerals originating in the Democratic Republic of the Congo and adjoining countries.The SEC's conflict minerals rule was challenged and found to violate the First Amendment by United States Court of Appeals for the District of Columbia Circuit (“D.C. Circuit”). The D.C. Circuit agreed to rehear the case following another D.C. Circuit decision regarding a similar First Amendment challenge. With regard to the rehearing, briefs for both parties will be filed by the end of 2014 and a decision will likely be forthcoming in 2015. In this paper, I analyze the details of the conflict minerals rule and address the impact of the rule on publicly traded companies. Furthermore, I discuss the overarching policy implications of the rule, particularly the role of the SEC and the rule's benefits. Lastly, I argue that the recent D.C. Circuit ruling deeming a portion of the disclosure scheme unconstitutional will likely be upheld
